Pagecafe is committed to providing the best quality online marketing services. That is why we have established this Terms of Service Policy. It is intended to describe how we work with our clients.
If you work with us, you are accepting the practices described in this Terms of Service Policy.
The Client agrees to make payment on each invoice and payments are due upon receipt. The failure of Client to make payment on any invoice within fifteen-days (15) after its receipt by Client shall be cause for Pagecafe to stop work until payment is made.
If web or email hosting is part of this Service, the Client agrees that Pagecafe's role is to provide assistance with selecting, hiring, managing and paying for web and email hosting services. A third-party professional hosting company will provide the hosting. Pagecafe's role with regard to web and email hosting is limited strictly to arranging and managing the third-party hosting service. Pagecafe is not liable in any way for the dependability or performance of the third-party hosting service, and standard hourly labor rates will be charged for all support provided by Pagecafe related to hosting, email, troubleshooting, backups, restores, software updates, etc.
Pagecafe and the Client (the Parties) agree that Pagecafe shall act as an independent contractor. Pagecafe is not to be deemed an employee of Client. Client retains the right to exercise final judgment with respect to the ultimate development of the Service and has responsibility for such development, although the details of the Service are within the discretion of Pagecafe.
Client shall indemnify and otherwise hold Pagecafe harmless from any and all claims brought by any third party against Pagecafe relating to any part of the subject Service, and shall indemnify Pagecafe from any losses, including but not limited to attorney's fees and all other costs related to such third-party claim whether or not in litigation that arises out of injury to said third party caused by any product, service, and/or materials supplied to Pagecafe by Client for inclusion in the development of the subject Service. Client hereby warrants that everything it supplies to Pagecafe for inclusion in the subject Service is legally owned or licensed to the Client and is not the subject of any infringement on the intellectual property rights of any third party.
Pagecafe warrants that any materials provided by Pagecafe for use by Client pursuant to this offer shall not contain any proprietary material owned by any other party for which that other party has not given license to Pagecafe for use of same that is protected under Copyright Act or any other similar law. Pagecafe shall be solely responsible for ensuring that any materials provided by Pagecafe pursuant to this offer satisfy this requirement and Pagecafe agrees to hold Client harmless from all liability or loss to which Client is exposed as a result of Pagecafe's failure to perform this duty. The Clients acknowledges that Pagecafe does not warrant the results obtained by the Client as a result of the Service.
Parties agree to hold each other's Proprietary or Confidential Information in strict confidence. The Parties shall not directly or indirectly through intermediaries solicit, recruit or hire any personnel (employee or consultant of either Party, currently working for the other Party) until one (1) year after the date the parties terminate their working relationship.
Pagecafe Internet Consulting, Inc. is a corporation and an independent contractor. You do not need to make 1099s for us.
The Client and/or Pagecafe may terminate the service with a 30-day notice prior to the beginning of the next monthly billing cycle. All Pagecafe labor fees and expenses incurred up to that point are due and payable immediately.
